These Terms of Service ("Terms") govern your use of the Projelli desktop application (the "Software"), the projelli.com website, and any related services we offer (collectively, the "Service"). By downloading, installing, or using Projelli, you agree to be bound by these Terms. If you don't agree, don't use the Service.
"We," "us," and "our" refer to Jameson Daines, an individual operating Projelli as a sole proprietor based in the United States.
Subject to your compliance with these Terms (and, for paid features, your payment of applicable fees), we grant you a limited, non-exclusive, non-transferable, revocable license to use Projelli for your personal or business use.
Projelli is licensed, not sold. We retain all intellectual property rights in the Software. The full license terms are in the End User License Agreement (EULA).
Projelli offers a free tier that includes core editor features, one AI provider, three workflow templates, and one workspace. The free tier is provided as-is, with no obligation to provide updates, support, or continued availability.
Paid tiers (Pro, Lifetime, and any future tiers) are sold as one-time purchases through our merchant of record, LemonSqueezy. Prices are listed at projelli.com and may change at any time, but changes do not affect the price you paid for an existing license.
14-day refund. If you're not satisfied with Projelli, request a refund within 14 days of purchase by emailing [email protected] or by using LemonSqueezy's customer portal. We will refund the full purchase price, no questions asked.
After 14 days, refunds are at our sole discretion and only granted in cases of significant defects that we are unable to fix in a reasonable time.

Projelli uses your own API keys for Anthropic (Claude), OpenAI, and Google AI (Gemini). When you use AI features, requests go directly from your computer to the provider, we are never in the loop. This means:
We will make reasonable efforts to provide updates that improve functionality, fix bugs, and address security issues. We do not commit to a fixed update schedule.
Support is provided via [email protected]. We aim to respond to inquiries within 2 business days but cannot guarantee specific response times.
The Software and the Service are provided "AS IS" and "AS AVAILABLE", without warranty of any kind, express or implied. We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Software will be uninterrupted, error-free, secure, or free of viruses or other harmful components. You use the Software at your own risk.
Projelli is a productivity tool for organizing your own work. It is not professional legal, financial, medical, or business advice. You are responsible for any decisions you make based on output from the Software or any AI provider it connects to.
To the maximum extent permitted by law, our total liability to you for any claim arising from these Terms or your use of the Software is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses.
This limitation applies even if we have been advised of the possibility of such damages.
You agree to indemnify and hold us harmless from any claim, damage, loss, or expense (including reasonable attorney's fees) arising from your violation of these Terms, your misuse of the Software, or your violation of any law or third-party rights.
We may terminate or suspend your access to the Service at any time for violation of these Terms. You may stop using the Software at any time.
If we terminate your license for cause (e.g., violation of these Terms or fraudulent activity), you are not entitled to a refund.
Termination does not affect provisions that by their nature should survive (intellectual property, disclaimers, limitations of liability, indemnification, governing law).
These Terms are governed by the laws of the State of Utah, United States, without regard to its conflict of laws provisions. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah.
We may update these Terms from time to time. Material changes will be announced on projelli.com and to active license holders via email. Your continued use of the Software after a change constitutes acceptance of the updated Terms. If you don't accept the updated Terms, your only remedy is to stop using the Software.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.
These Terms, together with the Privacy Policy and the EULA, constitute the entire agreement between you and us regarding the Software.
