Subject to your compliance with this Agreement and payment of any applicable fees, Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:
The Free tier license is granted at no cost and is perpetual unless terminated. The Free tier includes a limited subset of features as described at projelli.com/#pricing. The Free tier does not include any obligation by Licensor to provide updates, bug fixes, or support.
The Pro tier license is granted upon payment of the Pro tier fee. It includes all features described at projelli.com plus 1 year of updates from the date of purchase. After 1 year, the Software continues to function but new updates require a separate purchase.
The Lifetime tier license is granted upon payment of the Lifetime tier fee. It includes all features and all updates, in perpetuity. "Lifetime" refers to the lifetime of the Software product, not the natural life of the Licensee or the Licensor.
The Founder's Launch tier is identical to the Lifetime tier, but is offered at a reduced price ($29 USD) and is limited to the first 100 buyers. Once the 100-buyer cap is reached, the Founder's Launch tier is closed.
Paid licenses require activation with a license key issued by our merchant of record (LemonSqueezy). The Software validates your license key against our license server (licenses.projelli.com) at activation and periodically (typically once per week) thereafter.
Your license key is personal to you. You may not share, sell, transfer, or otherwise distribute your license key. Any attempt to do so may result in termination of your license without refund.
You may use your single-user license on multiple devices that you personally own (e.g., a desktop and a laptop), provided that the Software is not in use simultaneously by more than one person.

The Software is the proprietary property of Licensor and is protected by copyright laws and international treaty provisions. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights.
You retain all right, title, and interest in any content you create using the Software. The Software is a tool, it does not claim any ownership over the documents, data, or work product you create with it.
The Software incorporates open-source components, each subject to its own license. A list of these components and their licenses can be found in the Software's "About" screen and in the source repository at github.com/projelli/projelli.
While the Projelli Software itself is proprietary and licensed under this Agreement, it includes open-source dependencies (such as React, CodeMirror, Tauri, and others). Each open-source component is licensed under its own terms, which take precedence over this Agreement for that specific component. You can review the full list of open-source components and their licenses in the application's "About" screen or in the source repository.
Licensor may, from time to time, make updates available for the Software. Updates may include new features, bug fixes, security patches, and other improvements. Some updates may modify the Software's behavior or remove features. Your right to receive updates depends on your license tier as described above.
Licensor provides limited support to paid license holders via [email protected]. Licensor does not commit to specific response times or service levels.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SOFTWARE.
LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT, FOR ANY AND ALL CLAIMS, SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE LICENSE, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies in your possession.
Termination of this Agreement does not entitle you to a refund of any fees paid, except as expressly provided in the Terms of Service.
This Agreement is governed by the laws of the State of Utah, United States, without regard to its conflict of laws provisions.
This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Licensor regarding the Software.
